This Agreement is made between:

• Racing Labs Ltd (UK Registered, trading as “AvidSong”) (“AvidSong”, “we”, “our”), and
• You (“Writer”, “you”), the individual submitting lyrics to the AvidSong platform.

By clicking “I Accept” when uploading your lyrics, you agree to the following terms:

1. Ownership
1.1 You confirm that the lyrics you submit are your original, human-written work and do not infringe any third-party rights. AI-generated lyrics are prohibited.
1.2 AvidSong will own the copyright in the master recording (the finished song produced from your lyrics).
1.3 You remain the copyright owner of your lyrics unless you assign them to AvidSong under Section 6.

2. License to AvidSong
2.1 You grant AvidSong a non-exclusive, worldwide license to:

• Produce and release a master recording based on your lyrics.
• Upload and distribute the recording on the AvidSong platform.
• Deliver the recording to third-party distributors (e.g., Symphonic) for streaming, copyright protection, and monetisation.
• Register the recording with YouTube Content ID, TikTok, Instagram, and similar systems to claim, block, or monetise copies.

3. Revenue Sharing
3.1 Unless otherwise agreed, net revenue shall be shared as follows:

On the AvidSong platform (ads/streams):

• 40% to the Writer (you)
• 40% to AvidSong
• 20% to the Listener Reward Pool

On external platforms (Spotify, Apple, YouTube, TikTok, etc.):

• Free Package: Writer earns no DSP income.
• Paid DSP Distribution: 50% to the Writer / 50% to AvidSong.
• Full Rights Purchase: 100% to the Writer (if self-distributed).
• Full Rights + Distribution Service: 100% to the Writer, minus a 20% admin fee retained by AvidSong.

3.2 Earnings are calculated from distributor reports. In case of error, AvidSong will correct payments in the next cycle; no further liability applies.

4. Reporting & Transparency
4.1 You will have access to an online dashboard showing your earnings per track and platform.
4.2 You may export a filtered CSV of your own earnings.
4.3 If you believe there is an error, you must notify AvidSong within 30 days of the report.

5. Withdrawal & Takedown
5.1 You may not request removal of a track after AvidSong has produced and invested in it, except:

• If you purchase full rights under Section 6; or
• If there is a legal issue (copyright infringement, court order, or legal claim).

5.2 In such cases, AvidSong will remove the track from its own platform within 30 days and request takedown from third-party distributors (which may take up to 90 days).

6. Assignment of Rights
6.1 Full Rights Purchase (Worldwide)

• You may purchase 100% worldwide rights to the master recording.
• Upon full rights assignment:
  • All copyright in the master recording transfers to you.
  • AvidSong will remove the track from its platform and all distributors (unless you also request distribution as a service).
  • You will receive the final master file, ISRC, artwork, and metadata.
  • You will receive 100% of all future revenue worldwide.
  • AvidSong will have no further claim.

6.2 Full Rights + Distribution Service

• If you buy full rights but request AvidSong to handle DSP distribution, AvidSong will act only as a service provider.
• You will retain 100% royalties, minus a 20% admin fee for distribution, reporting, and payment handling.

7. Warranties
7.1 You warrant that your lyrics are original and human-written and do not infringe others.
7.2 You indemnify AvidSong against any claims arising from your submissions.

8. AI & Human Production Disclaimer
8.1 AvidSong uses a combination of AI technology and human expertise to create master recordings from submitted lyrics.
8.2 While every effort is made to ensure quality and originality, technical issues or unintended similarities may occur.
8.3 AvidSong reserves the right, at its sole discretion, to modify, suspend, or remove any track if it believes this is necessary for technical, legal, or quality reasons.

9. Copyright Risk Disclaimer & Clearance Paper
9.1 Every track produced on AvidSong goes through Symphonic Distribution’s professional compliance system, the same screening used by major labels and streaming services worldwide.
9.2 This process significantly reduces the chance of copyright disputes. After clearance, AvidSong will provide the Writer with a Clearance Paper confirming the track has passed distributor checks and internal review.
9.3 While no system in the music industry can guarantee 100% clearance, if a third-party platform (e.g., YouTube, Spotify) flags a track, AvidSong will provide documentation and reasonable support to help resolve the issue.
9.4 If you purchase rights, you accept that future copyright claims may still arise and that AvidSong shall not be liable once rights have been transferred.

10. Payments & Fees
10.1 Transaction and currency conversion fees for withdrawals are deducted at cost (bank, Payoneer, Wise, bKash, etc.).
10.2 Minimum payout threshold is $20 (or equivalent).
10.3 Payments depend on distributor reports and may be delayed by 60–90 days.

11. Governing Law
This Agreement is governed by the laws of England and Wales.
Where applicable, local copyright and intellectual property laws in Bangladesh shall also apply.
